Terms of Use

1. Agreement

These Terms of Use (“Terms”) govern the Planuki iOS app and planuki.com website (together, the “Service”), operated by Madhura Infotech (Canada) Inc. (“we”, “us”). By downloading or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Your use of the iOS app is also subject to Apple’s Standard Licensed Application End User License Agreement. Apple’s terms govern where they apply, including App Store distribution and purchases.

2. Eligibility

You must be at least 13 years old, or the equivalent minimum age required in your jurisdiction, to use Planuki. If you are not old enough to enter a binding agreement where you live, a parent or legal guardian must review and accept these Terms for you. You may not use the Service if applicable law prohibits you from doing so.

3. The Service

Planuki is a personal planning tool. Core features include tasks, recurring routines, Day and Week views, Brain Dump, Reflection, Focus Sessions, Focus Shield, limited Rescue My Day use, notifications, and free, optional Cloud Backup. Planuki Premium may add AI Coach, additional Rescue support, smart task breakdowns, planning wizards, and read-only Calendar Sync.

Features may depend on device capabilities, permissions, internet access, region, App Store configuration, subscription status, usage limits, or third-party services. We may add, change, limit, or discontinue features while taking reasonable steps to avoid materially harming active paid access.

4. Accounts and Cloud Backup

An account is not required for core planning. If you choose Cloud Backup, you are responsible for maintaining access to your Apple, Google, or email sign-in method and for activity under your account. Provide accurate information and notify us if you suspect unauthorized access.

Cloud Backup is a convenience and not a substitute for keeping copies of important information. You can export your data, delete Cloud Backup, or delete your account from Me → Privacy & Your Data. Account deletion also turns off external AI and removes the current installation’s AI service records, but it does not delete planner data or AI Coach conversations stored only on your device. Account deletion does not cancel an App Store subscription.

5. Subscriptions, trials, billing, and usage limits

• Planuki offers monthly and annual auto-renewing subscriptions. Available plans, local price, taxes, and billing period are shown in the app before purchase and may vary by storefront.
• Eligible new subscribers may be offered a 3-day introductory trial. Eligibility is determined by Apple. The purchase screen shows the trial and price charged afterward before you confirm.
• Payment is charged to your Apple Account when you confirm a purchase or when an eligible trial ends. The subscription renews for the selected period until you cancel it before renewal.
• Manage or cancel in iOS Settings → your name → Subscriptions. Cancellation stops future renewal; paid access generally remains available through the end of the current period.
• Restore an active purchase from the Me tab while using the Apple Account that made the purchase.
• Apple handles charges, billing disputes, and refunds under its policies. Refund requests can be made at reportaproblem.apple.com.

Some external AI capabilities require an active paid subscription. To protect service reliability, safety, and cost, Planuki may apply per-minute, daily, rolling-period, or other reasonable usage limits. A paid subscription does not promise unlimited external AI requests. Current limits may be displayed in the app and may change prospectively, subject to applicable law and commitments made at purchase.

6. Your content and feedback

As between you and Planuki, you retain your rights in the tasks, messages, notes, images, and other content you provide. You grant Planuki a limited, non-exclusive right to host, transmit, reproduce, and process that content only as needed to operate, secure, support, and improve the Service in accordance with the Privacy Policy and your settings.

You represent that you have the rights and permissions needed to submit the content and that it does not violate law or another person’s rights. This permission is not a broad marketing or model-training license.

If you voluntarily send us suggestions or feature feedback, you allow us to use it without restriction or payment to improve, promote, or develop Planuki. This does not give us ownership of your planner content or personal information.

The Planuki app does not send product-usage events to a third-party analytics service. We do not use your planner content or AI Coach conversations for advertising or third-party usage analytics.

7. AI Coach

AI Coach is an optional planning feature. Planuki may use local rules, Apple’s on-device language model on supported devices, and, only when needed and permitted by you, an external AI service through Planuki’s backend. Availability can depend on your device, operating-system version, Apple Intelligence availability, language or region, internet connection, subscription status, usage limits, and third-party service availability.

You can decline or later turn off external AI under Me → Privacy & Your Data → AI & Data Sharing while continuing to use Planuki’s local planning features. If you turn it off, Planuki must ask for permission again before a future request is sent externally. You can also delete the current installation’s pseudonymous external-AI request-limit and subscription-verification records there without a Planuki account. Deleting those records does not delete local AI Coach conversations or cancel an App Store subscription.

AI output limitations

AI-generated responses may be inaccurate, incomplete, outdated, unsuitable, or unexpected. AI Coach is planning assistance and does not replace your judgment. Review proposed tasks, dates, times, priorities, and other details before relying on them. Planuki requires local validation and, where appropriate, confirmation before applying changes, but you remain responsible for decisions and actions you take based on AI output.

No professional or emergency advice

AI Coach is not a medical, mental-health, legal, financial, tax, employment, safety, or other professional service, and it is not designed for emergencies or high-impact decisions. Do not use it as the sole basis for decisions that could materially affect a person’s rights, health, safety, finances, employment, education, housing, insurance, or access to essential services. Contact a qualified professional or emergency service when appropriate.

Generated output

Subject to applicable law and third-party rights, you may use AI Coach output for your personal planning. Similar or identical output may be generated for other users, and Planuki does not guarantee that output is unique, protectable, non-infringing, or fit for a particular purpose.

8. Calendar, notifications, and Focus Shield

Calendar events are displayed as read-only planning context; Planuki does not replace your calendar. Notifications can be delayed or suppressed by iOS settings. Focus Shield relies on supported Apple device controls and may not block every distraction in every situation. You remain responsible for checking schedules, deadlines, alarms, and restrictions that matter to you.

9. Acceptable use

You must not:

• Use the Service or AI Coach in violation of law or another person’s rights;
• Submit information or content you do not have the right to process;
• Create or distribute harmful or exploitative content or facilitate fraud, abuse, or unauthorized profiling;
• Attempt unauthorized access to accounts, systems, or data;
• Interfere with, overload, scrape, disrupt, or bypass safeguards, subscriptions, trials, or usage limits;
• Probe for or attempt to extract system prompts, model internals, credentials, or non-public service information;
• Reverse engineer the Service except where law expressly permits it; or
• Copy, resell, or commercially exploit the Service without permission.

We may limit or suspend AI or online access when reasonably necessary to protect users, providers, Planuki, or the public.

10. Third-party services

Planuki relies on providers including Apple, Google, Supabase, and OpenAI as described in the Privacy Policy. Their services may be unavailable, changed, or subject to their own terms. Planuki remains responsible for its obligations to you under these Terms and applicable law; nothing in this section limits rights that cannot legally be waived.

11. Privacy

Our Privacy Policy explains how Planuki processes information, including information used by AI Coach, and is incorporated into these Terms by reference.

12. Intellectual property

The Service, including its software, design, branding, illustrations, and non-user content, is owned by us or our licensors and protected by intellectual-property laws. Subject to these Terms and Apple’s EULA, we grant you a personal, limited, revocable, non-transferable license to use the app for its intended purpose.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, availability, or freedom from errors. We do not guarantee that data loss, missed reminders, synchronization conflicts, incorrect AI output, or service interruptions will never occur. Nothing here excludes a warranty that cannot legally be excluded.

14. Limitation of liability

To the maximum extent permitted by law, Madhura Infotech (Canada) Inc. and its directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of data, profits, goodwill, or opportunity, arising from the Service. Our aggregate liability for claims related to the Service will not exceed the greater of the amount you paid us for the Service during the 12 months before the event giving rise to the claim or CAD $50. These limits do not apply where prohibited by law.

15. Suspension and termination

You may stop using Planuki at any time. We may suspend or terminate access to online features if you materially breach these Terms, abuse the Service, create a security risk, or if required by law. When reasonable, we will provide notice and an opportunity to export cloud data. Provisions that by their nature should survive, including ownership, disclaimers, liability limits, and governing law, remain effective after termination.

16. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Ontario will have jurisdiction, except where your local law gives you a non-waivable right to bring a claim elsewhere. Nothing in these Terms limits non-waivable consumer rights.

17. General terms

Neither party is responsible for a delay or failure caused by events reasonably outside its control. If a provision of these Terms is unenforceable, it will be limited or removed only as much as necessary, and the remaining provisions will continue to apply. A failure to enforce a provision is not a waiver of it.

You may not assign your rights under these Terms without our prior written consent. We may assign these Terms as part of a merger, reorganization, sale of assets, or transfer of the Service, subject to applicable law. These Terms, Apple’s applicable terms, and the documents expressly incorporated here form the entire agreement about the Service and replace earlier discussions about it.

18. Changes and contact

We may update these Terms as the Service changes. Material changes will be posted here and, where appropriate, communicated in the app. The date above identifies the current version. Continued use after revised Terms take effect means you accept them, to the extent permitted by law.
